Auto-bid

As a bidder, you don't have to constantly watch auctions and worry about being outbid! All GovDeals Internet Auctions feature an auto-bid. In the bid box on the auction view page, enter the HIGHEST dollar amount that you are willing to pay, and the GovDeals bidding system will bid on your behalf by placing a bid at the current LOWEST minimum bid. If another bidder outbids your LOWEST minimum bid, the system will automatically place another bid, once again making you the current high bidder, until your "top dollar" number is reached. The auto-bidding system will continue to place the LOWEST minimum bids on your behalf until you are the winner of the auction or another bidder bids higher than your auto-bid. Auto-bids are completely private and are never displayed to other bidders. In the event of a reserve price auction, your auto-bid will immediately bid up to the amount of the reserve OR to the max amount of your auto-bid if the reserve price is in excess of your auto-bid.

Bid Extension

If a bid is placed during the final 3 minutes of an auction, the auction will automatically extend for additional 3 minutes. This will continue until no bids are placed during the last three minutes.

Since most bidding occurs during the final minutes of an auction, this allows all bidders a sufficient amount of time to continue bidding.

Probation Level 1 Bidding

This Seller has instituted a Bidder Probation Restriction on this auction. To have this restriction removed, a $1,000 refundable deposit in the form of a Certified Cashier's Check or U.S. Postal Money Order must be mailed to GovDeals, Inc., 100 Capitol Commerce Boulevard, Suite 110, Montgomery, AL 36117. Once 60 days have passed GovDeals will return this bid deposit.

Insurance. Without limiting any of the other obligations or liability of Buyer, Buyer during all times in which Buyer is on Santee Cooper property and is loading and transporting the Material shall provide and maintain insurance coverage and provided for with financially sound and reputable insurers as follows: Worker’s Compensation as required by the laws of the State of South Carolina, bodily injury by accident is $500,000 each accident and bodily injury by disease is $500,000 each employee. General Liability (occurrence form) with a minimum $1,000,000 limit for bodily injury/property damage. Automobile Liability with a minimum limit of $500,000 for bodily injury/property damage. All buyers except for individuals not representing any company interest must have automobile insurance. Upon Santee Cooper's request, Buyer shall provide Santee Cooper with a certificate of insurance from Buyer's insurer evidencing the insurance coverage specified in these Terms and the certificate of insurance shall name Seller as an additional insured. The Buyer shall not allow any assignment of additional parties commercial and/or non-commercial to commence work on its purchase until the Buyer has determined that the assignee has met the minimum insurance requirements specified herein. In the event Buyer requires any assignee to provide any additional insurance, Buyer shall require that Seller, its officers, agents, employees and volunteers be named as additional insureds with respect to such insurance, and that such insurance shall provide for the insured’s waiver of subrogation rights in favor of Seller, its employees and agents.

RemovalRemoval
Property may be removed after receipt of payment and BY APPOINTMENT ONLY. Appointments must be made at least 24 hours in advance. All items must be removed within ten (10) business days from the time and date of issuance of the Buyer's Certificate. Unless otherwise agreed in writing, Buyer shall pick up the Materials from the designated Santee Cooper location. Buyer is responsible for making appropriate arrangements to safety remove, disassemble (if necessary), load, and transfer the Material from Santee Cooper’s property. The Buyer will make all arrangements and perform all work necessary for these efforts, including packing, loading and transportation of the property. No assistance will be provided. Buyer or Buyer’s contractor shall be appropriately licensed and trained for the equipment and load under the operator’s control. Buyer’s or Buyer’s contractor loading and transporting equipment shall be in good order and condition and should be properly insured.

Buyer shall conduct its loading and hauling operations on Santee Cooper property subject to and in compliance with applicable state, federal, and local laws and such rules and regulations respecting sanitation, health, safety, and the environment. Buyer shall take all necessary or advisable precautions for the safety of all persons or property in connection with its operations. The term “laws” as used herein shall be construed as including administrative rules and regulations. Buyer shall be responsible for complying with changes in regulations and any new regulations that become effective during the Term of the Agreement. Buyer shall provide documentation of compliance with any and all applicable laws and regulations as requested or required.

While on Santee Cooper property, Buyer shall at all times use commercially reasonable efforts to minimize the possibility of any conflict or interference with the activities, operations, or processes of Santee Cooper.

A daily storage fee of $10.00 may be charged for any item not removed within the 10 business days allowed and stated on the Buyer's Certificate.

**Directions** There are 2 entrances into Santee Cooper's complex. Take the entrance with the small brown sign that says "Visitors" and "Receiving". Continue to go straight down this road (do NOT turn or veer left). You will see a gray building on your left that says "Investment Recovery". Park in front of the Investment Recovery building and knock on the door.

Indemnification. Buyer shall indemnify and hold Santee Cooper, its agents and employees harmless from and against all liability claims and demands on account of damages to persons or property, including death to employees of Santee Cooper, Buyer or its suppliers or contractors arising out of or connected with the performance or non-performance of this Agreement caused by the negligence of Buyer, its contractors, suppliers, agents, employees, or other Party affiliated with Buyer. Buyer shall at its own expense, for any and all actions based upon the claims described in this paragraph, pay all attorney fees, costs, and expenses arising therefrom. Further, Buyer shall indemnify Santee Cooper for any and all damage to Santee Cooper’s property resulting from Buyer’s use of any equipment (including but not limited to Buyer’s loading equipment, Santee Cooper’s loading equipment, and vehicles).

Limitation of Liability. (a) IN NO EVENT SHALL SANTEE COOPER BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY DAMAGE OR LOSS RESULTING FROM BUYER’S LOADING AND TRANSPORT OF THE MATERIAL WHETHER LOADED BY BUYER OR SANTEE COOPER, REGARDLESS OF THE OWNERSHIP OF THE EQUIPMENT USED. (b) IN NO EVENT SHALL SANTEE COOPER BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SANTEE COOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. (c) IN NO EVENT SHALL SELLER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO SANTEE COOPER FOR THE GOODS SOLD HEREUNDER OR AS PROVIDED FOR BY LAW, WHICHEVER IS LESS.
